1. Definitions

• "Customer," "you," "your" — the individual or entity purchasing services from Universal Merchandise
• "Services" — telecommunications services (internet, TV, phone), home security services, and any other offerings provided by or through Universal Merchandise
• "Provider" — the underlying telecommunications or security monitoring company whose services we retail
• "Agreement" — these Terms and Conditions together with any service order, enrollment form, or other agreement signed between you and Universal Merchandise

2. Services

Universal Merchandise Inc. is an authorized Reseller and Agent for telecommunications and home security services. We facilitate the enrollment and management of services provided by our partner carriers and security monitoring companies.

The specific services, pricing, speeds, channels, and features available to you will be determined at the time of enrollment and are subject to:

• Service availability at your address
• The terms and conditions of the underlying service Provider
• Credit qualification requirements
• Applicable federal, state, and local regulations

3. Service Agreements

When you enroll in services through Universal Merchandise, you will enter into a service agreement with both Universal Merchandise and the applicable Provider. Each agreement may have separate terms, and you are responsible for reviewing and complying with both.

Some services may require minimum term commitments. If a term commitment exists, it will be clearly disclosed to you before you finalize your enrollment. Early termination of a term commitment may result in early termination fees as specified in your service agreement.

4. Pricing and Billing

All prices are stated in U.S. dollars. Pricing is subject to change. We will notify you of any price changes affecting your existing services with reasonable advance notice.

• Monthly service fees are typically billed in advance
• Installation fees, equipment fees, and any applicable taxes or surcharges will be disclosed before your enrollment is finalized
• Payment is due by the date specified on your bill or service agreement
• Late payments may result in service interruption and/or late fees as specified in your service agreement

5. Installation and Equipment

Installation availability is determined by participating providers and may be included with select services or packages. DIY installation may be available for certain services.

• You must provide access to provider-authorized technicians where applicable
• Equipment provided as part of your service remains the property of the participating Provider unless explicitly stated otherwise
• You are responsible for maintaining leased equipment in good condition and returning it upon service termination
• Damage to equipment beyond normal wear and tear may result in replacement fees

6. Service Performance

Service performance is determined by participating providers and may vary based on network conditions and location

• Network maintenance and upgrades
• Equipment failures or outages
• Weather conditions and natural disasters
• Third-party network congestion
• Your home wiring, equipment, or usage patterns

Advertised internet speeds represent maximum speeds under optimal conditions. Actual speeds may vary.

7. Acceptable Use

You agree to use our services only for lawful purposes and in compliance with all applicable laws and regulations. You may not use our services to:

• Engage in any illegal activity
• Transmit spam, malware, or malicious content
• Infringe upon the intellectual property rights of others
• Resell services without prior written authorization
• Interfere with or disrupt network operations

8. Cancellation and Termination

You may cancel your services subject to the terms of your individual service agreement. Please review our Refund Policy for information about refunds upon cancellation.

Participating Providers reserve the right to suspend or terminate services

• Payment is not received by the due date after reasonable notice
• You violate any provision of these Terms or your service agreement
• Required by the underlying Provider or by law
• Fraudulent or abusive activity is detected on your account

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNIVERSAL MERCHANDISE'S LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL BE LIMITED TO THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION.

10. Disclaimers

Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding:

• Uninterrupted or error-free service
• The fitness of our services for any particular purpose
• The security or privacy of any communications transmitted through our services

11. Dispute Resolution

In the event of a dispute, we encourage you to first contact us directly at (888) 347-2535 or info@universalmerchandise.online to resolve the matter informally.

These Terms shall be governed by the laws of the State of New York. Any unresolved disputes shall be subject to binding arbitration in Suffolk County, New York, except where prohibited by law.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you with at least 30 days' advance notice. Your continued use of our services after such notice constitutes acceptance of the revised Terms.
